These Seller Terms & Conditions (“Seller Terms”) govern the relationship between PixelStocker (“PixelStocker,” “we,” “us,” or “our”) and any individual, business, or entity (“Seller,” “you,” or “your”) that registers as a seller and uploads, lists, licenses, or sells digital products through the PixelStocker marketplace (“Marketplace”).

 

By registering as a Seller, submitting products, accepting orders, or otherwise using the seller features of PixelStocker, you acknowledge that you have read, understood, and agreed to these Seller Terms.

 

If you do not agree with these Seller Terms, you must not register or operate as a Seller on PixelStocker.

1. Seller Eligibility

To become a Seller on PixelStocker:

 

1. You must provide accurate and complete registration information.                                            
2. You must have the legal capacity to enter into a binding agreement.                                                
3. If you are registering on behalf of a business or organization, you confirm that you have authority to act on its behalf.                                                                                                                
4. You are responsible for keeping your account information accurate and up to date.                                                                                                                                    
5. PixelStocker may manually review and approve Seller applications before granting selling access.                                                                                                                                                        

PixelStocker may reject, suspend, or restrict a Seller application where permitted under these Seller Terms or applicable law.

2. Seller Account

Each Seller is responsible for maintaining the security and confidentiality of their account credentials.

You are responsible for all activity conducted through your Seller account.

 

You must immediately notify PixelStocker if you believe that:

 

        •  Your account has been accessed without authorization;
        •  Your login credentials have been compromised;
        • Any information in your Seller account is inaccurate; or
        •  Any suspicious activity has occurred.

You must not share, sell, transfer, or provide unauthorized access to your Seller account.

3. Seller Verification and Approval

PixelStocker may request information or documents to verify a Seller's identity, business details, tax information, payment information, or ownership of submitted products.

 

Seller approval is subject to PixelStocker's review process.

 

Typical approval period: 3–7 business days, although processing times may vary.

 

PixelStocker may request additional information before approving or continuing a Seller account.

4. Digital Products Only

PixelStocker is a marketplace primarily intended for digital products and downloadable digital content.

 

Depending on the categories permitted by PixelStocker, Sellers may offer products such as:

      •  Graphics and design assets
      •  Templates
      •  Illustrations
      •  Stock images
      •  PSD files
      •  Vector files
      •  PNG files
      •  Fonts, where legally permitted
      •  Digital artwork
      •  E-books and digital publications
      •  Business and presentation templates
      •  Other permitted downloadable digital products                                       

Physical goods, illegal content, or products that violate PixelStocker's policies may not be listed without explicit authorization.

 

PixelStocker may restrict or remove categories of products at its discretion where permitted by applicable law.

5. Seller's Responsibility for Products

You are solely responsible for every product you upload, publish, or sell through your Seller account.

 

You must ensure that:

 

1. You have all necessary rights, permissions, licenses, and authorizations to sell the product.

 

2. The product does not infringe copyright, trademark, patent, design rights, privacy rights, publicity rights, or other third-party rights.


3. The product description accurately represents the product.


4. Product previews, thumbnails, screenshots, and promotional materials accurately represent the actual downloadable files.


5. The downloadable files are complete, functional, and reasonably usable as described.


6. You have the right to grant the applicable license to customers.


7. The product does not contain malicious code, viruses, malware, spyware, or other harmful components.


8. The product complies with applicable laws and PixelStocker's policies.

 

You must not upload or sell content that you do not have the legal right to distribute.

6. Originality and Intellectual Property

Sellers must only upload products that they have created themselves or for which they have obtained sufficient rights to commercially distribute and license the content.

 

You must not upload:

 

      •  Copyrighted material belonging to another person without authorization;
      •  Unauthorized copies or reproductions;
      • Pirated software, files, designs, books, images, or other content;
      • Trademarks or logos without appropriate authorization;
      • Content obtained from stock websites where redistribution or resale is prohibited;
      • Content whose license does not permit resale or sublicensing;
      • Products that violate third-party intellectual property rights.                                                                            

If a product contains third-party assets, fonts, photographs, illustrations, models, trademarks, or other protected materials, you are responsible for obtaining and complying with all necessary permissions and licenses.

7. Product Licensing

By listing a product on PixelStocker, you confirm that you have the authority to grant customers the license or usage rights associated with that product.

 

The license applicable to a product must be clearly stated where required.

 

Where PixelStocker provides a standard marketplace license, Sellers must comply with that license and must not make representations that conflict with the applicable PixelStocker license.

 

Where a Seller provides additional product-specific terms, those terms must be lawful, clear, and consistent with PixelStocker's policies.

 

Sellers must not grant customers rights that they do not legally possess.

8. Product Listings

Sellers must provide accurate information for every product listing.

 

Product listings should include, where applicable:

 

      •  Product title
      •  Product description
      •  Preview images
      •  File format
      •  File type
      •  Software/version requirements
      •  Dimensions or specifications
      •  Number of files or included items
      •  License information
      •  Any important usage restrictions
      •  Other information reasonably necessary for customers to understand the product                                    

Misleading, deceptive, incomplete, or inaccurate product information may result in product removal or Seller account action.

9. Product Quality

Sellers must make reasonable efforts to ensure that uploaded files are:

 

      •  Complete;
      •  Free from malware or harmful code;
      •  Accessible and downloadable;
      •  Properly organized;
      •  Consistent with the product description; and
      •  Of reasonable quality for the product category.                        

If a customer reports that a product is defective, incomplete, materially different from its description, or otherwise problematic, PixelStocker may investigate and may request the Seller to provide a corrected version.

10. Prohibited Products and Content

Sellers may not upload or sell products that are illegal or prohibited by PixelStocker.

 

Prohibited content may include, without limitation:

 

      •  Pirated or stolen content;
      •  Unauthorized copyrighted material;
      •  Malware, viruses, or malicious software;
      •  Fraudulent or deceptive materials;
      •  Content that violates applicable law;
      •  Content that infringes third-party rights;
      •  Content intended to facilitate illegal activity;
      •  Products containing unauthorized personal or confidential information;
      •  Counterfeit or unauthorized branded materials;
      •  Content prohibited by payment providers or applicable regulations.                 

PixelStocker may remove or restrict products that it reasonably believes violate these Seller Terms or applicable policies.

11. Seller Commission and Fees

Sellers are subject to the applicable commission and subscription fees associated with their Seller plan.

 

The current Seller plans may include:

The applicable commission is calculated according to PixelStocker's current commission rules.

 

PixelStocker may change its fees, commission rates, subscription plans, or other charges by providing appropriate notice where required by applicable law.

12. Taxes

Sellers are responsible for understanding and complying with their own tax obligations arising from their activities on PixelStocker.

 

Depending on the Seller's circumstances and applicable law, this may include GST, income tax, withholding requirements, or other applicable taxes.

 

PixelStocker may collect, charge, deduct, report, or remit taxes where required by applicable law.

 

Sellers are responsible for providing accurate tax and business information when requested.

 

PixelStocker does not provide individual tax advice.

13. Seller Payouts

Eligible Seller earnings may be paid through the payout methods supported by PixelStocker.

 

Current payout methods may include:

 

India: Bank transfer
Outside India: PayPal, where available and supported

 

Sellers must provide accurate payout information.

 

PixelStocker is not responsible for delays caused by incorrect Seller information, payment-provider restrictions, banking issues, regulatory requirements, or circumstances outside PixelStocker's reasonable control.

 

PixelStocker may temporarily hold or delay payouts where reasonably necessary to investigate suspected fraud, disputes, chargebacks, policy violations, or other legitimate concerns.

14. Refunds, Chargebacks, and Disputes

Because PixelStocker primarily provides digital products, customers may have limited refund rights depending on the circumstances and applicable law.

 

Where a refund, chargeback, payment reversal, or other transaction adjustment occurs, PixelStocker may adjust the Seller's earnings accordingly where permitted.

 

Sellers agree to cooperate reasonably with PixelStocker in resolving customer complaints, payment disputes, copyright claims, and transaction issues.

 

PixelStocker may review the relevant product, transaction, communications, and other available information when resolving a dispute.

15. Seller Communications with Customers

Sellers must communicate with customers professionally and honestly.

 

Sellers must not:

 

  •  Harass or threaten customers;
  •  Request unnecessary personal information;
  •  Attempt to move transactions outside PixelStocker to avoid fees;
  •  Send spam or unsolicited promotional messages;
  •  Misrepresent PixelStocker's policies;
  •  Offer unauthorized refunds or compensation in a misleading manner; or
  •  Use customer information for purposes not permitted by applicable law or PixelStocker's policies.

16. Customer Data and Privacy

Sellers may receive limited customer information necessary to fulfill or support transactions.

 

Sellers must:

      •  Protect customer information;
      •  Use customer information only for legitimate purposes related to the transaction or permitted marketplace activity;
      •  Not sell or transfer customer information to third parties without lawful authorization;
      •  Not use customer information for unauthorized marketing;
      •  Comply with applicable privacy and data-protection laws; and
      •  Take reasonable security measures to prevent unauthorized access.                  

Sellers must not retain customer information longer than reasonably necessary for legitimate purposes or as required by applicable law.

17. Copyright and DMCA Complaints

PixelStocker respects intellectual property rights.

 

If PixelStocker receives a copyright complaint or other intellectual property claim concerning a Seller's product, PixelStocker may investigate the matter and take appropriate action under its DMCA / Copyright Policy and applicable law.

 

Possible actions may include:

 

      •  Temporarily disabling a product;
      •  Removing a product;
      •  Requesting information or documentation from the Seller;
      •  Restricting the Seller account; or
      •  Taking other appropriate action.                                                  

Sellers agree to cooperate with reasonable investigations into intellectual property complaints.

18. Seller Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PixelStocker, its owners, operators, affiliates, employees, contractors, and service providers from claims, losses, damages, liabilities, costs, and expenses arising out of or related to:

 

      •  Your products;
      •  Your breach of these Seller Terms;
      •  Your violation of applicable law;
      •  Your infringement or alleged infringement of third-party rights;
      •  Your misuse of customer information;
      •  Your Seller account activity; or
      •  Your representations, warranties, or obligations as a Seller.

19. Seller Representations and Warranties

By uploading or selling a product, you represent and warrant that:

 

1. You have the legal right to sell or distribute the product.


2. The product does not knowingly infringe third-party rights.


3. The product information is accurate.


4. You have obtained all necessary permissions for third-party materials included in the product.


5. The product complies with applicable laws and PixelStocker's policies.


6. You have the authority to enter into these Seller Terms.

20. Seller Account Suspension or Termination

PixelStocker may suspend, restrict, or terminate a Seller account where reasonably necessary, including where a Seller:

 

      •  Violates these Seller Terms;
      •  Uploads infringing or unauthorized content;
      •  Repeatedly receives valid customer complaints;
      •  Engages in fraud or deceptive activity;
      •  Attempts to manipulate transactions or commissions;
      •  Provides false or misleading information;
      •  Misuses customer information;
      •  Uploads prohibited content;
      •  Creates security risks; or
      •  Engages in conduct that may expose PixelStocker or its users to legal or financial risk.                                 

Where appropriate and legally permitted, PixelStocker may provide the Seller with an opportunity to address the issue before permanent termination.

21. Removal of Products

PixelStocker may remove, disable, restrict, or hide a product where it reasonably believes that the product:

 

      •  Violates these Seller Terms;
      •  Violates applicable law;
      •  Infringes third-party rights;
      •  Contains inaccurate or misleading information;
      •  Generates repeated valid complaints;
      •  Creates a security or technical risk; or
      •  Otherwise presents a legitimate risk to PixelStocker, customers, or other Sellers.                            

Removal of a product does not necessarily release the Seller from obligations relating to previous sales, disputes, refunds, or intellectual property claims.

22. Changes to Seller Products

PixelStocker may allow Sellers to update or replace digital products after publication.

 

Sellers must ensure that updated files continue to comply with these Seller Terms and that material changes are accurately reflected in the product listing.

 

PixelStocker may review updated products where necessary.

23. Marketplace Content and Promotion

By listing a product on PixelStocker, you grant PixelStocker a non-exclusive, worldwide, royalty-free right to use the product's name, thumbnail, preview images, descriptions, and other listing information for purposes reasonably related to operating, promoting, marketing, and displaying the Marketplace.

 

This permission does not transfer ownership of your underlying intellectual property to PixelStocker.

 

PixelStocker may display Seller products in:

 

      •  Marketplace search results;
      •  Category pages;
      •  Promotional banners;
      •  Featured sections;
      •  Social media promotions;
      •  Email marketing;
      •  Advertisements; and
      •  Other PixelStocker promotional channels.

24. Seller Intellectual Property

Except for the limited rights granted to PixelStocker under these Seller Terms, you retain ownership of the intellectual property rights that you lawfully own in your products.

 

You do not transfer ownership of your intellectual property to PixelStocker merely by becoming a Seller or listing a product.

 

However, you must ensure that your products and the rights you claim to own are actually yours to license or distribute.

25. Marketplace Platform Rights

PixelStocker owns or licenses the intellectual property and technology used to operate the Marketplace, including applicable website design, branding, software, logos, trademarks, and platform functionality.

 

Sellers may not copy, reproduce, modify, reverse engineer, distribute, or commercially exploit PixelStocker's platform, branding, or proprietary materials without authorization.

26. No Guarantee of Sales

PixelStocker does not guarantee that any Seller will receive a particular number of:

 

      •  Views;
      •  Downloads;
      •  Customers;
      •  Orders;
      •  Revenue; or
      •  Profits.                                            

Marketplace visibility may depend on factors such as customer demand, product quality, category, search relevance, promotions, competition, and platform operations.

27. Platform Availability

PixelStocker will make reasonable efforts to maintain the Marketplace, but uninterrupted availability cannot be guaranteed.

 

The Marketplace may occasionally be unavailable because of:

 

      •  Maintenance;
      •  Updates;
      •  Technical issues;
      •  Hosting or network problems;
      •  Security measures;
      •  Third-party service interruptions; or
      •  Other circumstances beyond PixelStocker's reasonable control.

28. Limitation of Liability

To the maximum extent permitted by applicable law, PixelStocker will not be responsible for indirect, incidental, special, consequential, or punitive losses arising from a Seller's use of the Marketplace.

 

PixelStocker does not guarantee the commercial success, profitability, market demand, or performance of any Seller product.

 

Nothing in these Seller Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

29. Relationship Between PixelStocker and Sellers

Unless otherwise expressly agreed in writing, Sellers operate independently and are not employees, agents, partners, franchisees, or representatives of PixelStocker.

 

Seller participation in the Marketplace does not create a partnership, joint venture, employment relationship, or agency relationship between the Seller and PixelStocker.

 

Sellers are responsible for their own business activities, taxes, legal obligations, and compliance requirements.

30. Third-Party Services

PixelStocker may use third-party services for payment processing, hosting, email delivery, analytics, security, identity verification, storage, or other marketplace functions.

 

Third-party services may have their own terms and privacy policies.

 

PixelStocker is not responsible for interruptions or failures caused by third-party services beyond its reasonable control.

31. Prohibited Seller Activities

Sellers must not:

 

      •  Create fake transactions or manipulate sales;
      •  Manipulate ratings, reviews, downloads, or marketplace statistics;
      •  Use bots or automated systems to abuse the Marketplace;
      •  Attempt to bypass PixelStocker's commission or fees;
      •  Create multiple accounts for fraudulent purposes;
      •  Upload malware or harmful files;
      •  Misrepresent ownership of products;
      •  Engage in fraudulent activity;
      •  Attempt to obtain unauthorized access to another account;
      •  Interfere with Marketplace security or functionality; or
      •  Engage in any activity that violates applicable law.

32. Seller Responsibility for Compliance

Sellers are responsible for ensuring that their activities comply with all laws, regulations, licenses, permits, and professional requirements applicable to them.

 

This may include requirements relating to:

 

      •  Intellectual property;
      •  Consumer protection;
      •  Taxation;
      •  Advertising;
      •  Data protection;
      •  Export or cross-border transactions; and
      •  Digital commerce.

33. Changes to These Seller Terms

PixelStocker may update these Seller Terms from time to time.

 

When material changes are made, PixelStocker may provide notice through the Marketplace, Seller dashboard, email, or another reasonable method where required.

 

The updated Seller Terms will become effective on the date stated in the updated version.

 

Your continued use of the Seller features after the effective date constitutes acceptance of the updated Seller Terms, to the extent permitted by applicable law.

34. Governing Law and Dispute Resolution

These Seller Terms shall be governed by the laws applicable to PixelStocker's business, without regard to conflict-of-law principles, subject to applicable mandatory legal requirements.

 

Any dispute arising between PixelStocker and a Seller should first be addressed through good-faith communication and reasonable efforts to resolve the matter.

 

If the dispute cannot be resolved informally, it may be subject to the jurisdiction of the competent courts specified by PixelStocker, subject to applicable law.

35. Severability

If any provision of these Seller Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to remain in effect to the extent permitted by law.

36. Entire Agreement

These Seller Terms, together with applicable PixelStocker policies, licenses, rules, and other terms referenced herein, constitute the agreement governing your use of the Seller features of PixelStocker, unless a separate written agreement expressly applies.

If a customer reports that a product is defective, incomplete, materially different from its description, or otherwise problematic, PixelStocker may investigate and may request the Seller to provide a corrected version.

10. Prohibited Products and Content

Sellers may not upload or sell products that are illegal or prohibited by PixelStocker.

 

Prohibited content may include, without limitation:

      •  Pirated or stolen content;
      •  Unauthorized copyrighted material;
      •  Malware, viruses, or malicious software;
      •  Fraudulent or deceptive materials;
      •  Content that violates applicable law;
      •  Content that infringes third-party rights;
      •  Content intended to facilitate illegal activity;
      •  Products containing unauthorized personal or confidential information;
      •  Counterfeit or unauthorized branded materials;
      •  Content prohibited by payment providers or applicable regulations.                 

PixelStocker may remove or restrict products that it reasonably believes violate these Seller Terms or applicable policies.

11. Seller Commission and Fees

Sellers are subject to the applicable commission and subscription fees associated with their Seller plan.

12. Taxes

Sellers are responsible for understanding and complying with their own tax obligations arising from their activities on PixelStocker.

 

Depending on the Seller's circumstances and applicable law, this may include GST, income tax, withholding requirements, or other applicable taxes.

 

PixelStocker may collect, charge, deduct, report, or remit taxes where required by applicable law.

 

Sellers are responsible for providing accurate tax and business information when requested.

 

PixelStocker does not provide individual tax advice.

13. Seller Payouts

Eligible Seller earnings may be paid through the payout methods supported by PixelStocker.

 

Current payout methods may include:

 

India: Bank transfer
Outside India: PayPal, where available and supported 

                            

Sellers must provide accurate payout information.

 

PixelStocker is not responsible for delays caused by incorrect Seller information, payment-provider restrictions, banking issues, regulatory requirements, or circumstances outside PixelStocker's reasonable control.

 

PixelStocker may temporarily hold or delay payouts where reasonably necessary to investigate suspected fraud, disputes, chargebacks, policy violations, or other legitimate concerns.

14. Refunds, Chargebacks, and Disputes

Because PixelStocker primarily provides digital products, customers may have limited refund rights depending on the circumstances and applicable law.

 

Where a refund, chargeback, payment reversal, or other transaction adjustment occurs, PixelStocker may adjust the Seller's earnings accordingly where permitted.

 

Sellers agree to cooperate reasonably with PixelStocker in resolving customer complaints, payment disputes, copyright claims, and transaction issues.

 

PixelStocker may review the relevant product, transaction, communications, and other available information when resolving a dispute.

15. Seller Communications with Customers

Sellers must communicate with customers professionally and honestly.

 

Sellers must not:

 

    •  Harass or threaten customers;
    •  Request unnecessary personal information;
    •  Attempt to move transactions outside PixelStocker to avoid fees;
    •  Send spam or unsolicited promotional messages;
    •  Misrepresent PixelStocker's policies;
    •  Offer unauthorized refunds or compensation in a misleading manner; or
    •  Use customer information for purposes not permitted by applicable law or PixelStocker's policies.

16. Customer Data and Privacy

Sellers may receive limited customer information necessary to fulfill or support transactions.

 

Sellers must:

      •  Protect customer information;
      •  Use customer information only for legitimate purposes related to the transaction or permitted marketplace activity;
      •  Not sell or transfer customer information to third parties without lawful authorization;
      •  Not use customer information for unauthorized marketing;
      •  Comply with applicable privacy and data-protection laws; and
      •  Take reasonable security measures to prevent unauthorized access.                  

Sellers must not retain customer information longer than reasonably necessary for legitimate purposes or as required by applicable law.

17. Copyright and DMCA Complaints

PixelStocker respects intellectual property rights.

 

If PixelStocker receives a copyright complaint or other intellectual property claim concerning a Seller's product, PixelStocker may investigate the matter and take appropriate action under its DMCA / Copyright Policy and applicable law.

 

Possible actions may include:

 

      •  Temporarily disabling a product;
      •  Removing a product;
      •  Requesting information or documentation from the Seller;
      •  Restricting the Seller account; or
      •  Taking other appropriate action.                                                  

Sellers agree to cooperate with reasonable investigations into intellectual property complaints.

18. Seller Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PixelStocker, its owners, operators, affiliates, employees, contractors, and service providers from claims, losses, damages, liabilities, costs, and expenses arising out of or related to:

 

    •  Your products;
    •  Your breach of these Seller Terms;
    •  Your violation of applicable law;
    •  Your infringement or alleged infringement of third-party rights;
    •  Your misuse of customer information;
    •  Your Seller account activity; or
    •  Your representations, warranties, or obligations as a Seller.

19. Seller Representations and Warranties

By uploading or selling a product, you represent and warrant that:

 

1. You have the legal right to sell or distribute the product.

 

2. The product does not knowingly infringe third-party rights.

 

3. The product information is accurate.

 

4. You have obtained all necessary permissions for third-party materials included in the product.

 

5. The product complies with applicable laws and PixelStocker's policies.

 

6. You have the authority to enter into these Seller Terms.

20. Seller Account Suspension or Termination

PixelStocker may suspend, restrict, or terminate a Seller account where reasonably necessary, including where a Seller:

 

      •  Violates these Seller Terms;
      •  Uploads infringing or unauthorized content;
      •  Repeatedly receives valid customer complaints;
      •  Engages in fraud or deceptive activity;
      •  Attempts to manipulate transactions or commissions;
      •  Provides false or misleading information;
      •  Misuses customer information;
      •  Uploads prohibited content;
      •  Creates security risks; or
      •  Engages in conduct that may expose PixelStocker or its users to legal or financial risk.                                 

Where appropriate and legally permitted, PixelStocker may provide the Seller with an opportunity to address the issue before permanent termination.

21. Removal of Products

PixelStocker may remove, disable, restrict, or hide a product where it reasonably believes that the product:

 

    •  Violates these Seller Terms;
    •  Violates applicable law;
    •  Infringes third-party rights;
    •  Contains inaccurate or misleading information;
    •  Generates repeated valid complaints;
    •  Creates a security or technical risk; or
    •  Otherwise presents a legitimate risk to PixelStocker, customers, or other Sellers.                            

Removal of a product does not necessarily release the Seller from obligations relating to previous sales, disputes, refunds, or intellectual property claims.

22. Changes to Seller Products

PixelStocker may allow Sellers to update or replace digital products after publication.

 

Sellers must ensure that updated files continue to comply with these Seller Terms and that material changes are accurately reflected in the product listing.

 

PixelStocker may review updated products where necessary.

23. Marketplace Content and Promotion

By listing a product on PixelStocker, you grant PixelStocker a non-exclusive, worldwide, royalty-free right to use the product's name, thumbnail, preview images, descriptions, and other listing information for purposes reasonably related to operating, promoting, marketing, and displaying the Marketplace.

 

This permission does not transfer ownership of your underlying intellectual property to PixelStocker.

 

PixelStocker may display Seller products in:

      •  Marketplace search results;
      •  Category pages;
      •  Promotional banners;
      •  Featured sections;
      •  Social media promotions;
      •  Email marketing;
      •  Advertisements; and
      •  Other PixelStocker promotional channels.

24. Seller Intellectual Property

Except for the limited rights granted to PixelStocker under these Seller Terms, you retain ownership of the intellectual property rights that you lawfully own in your products.

 

You do not transfer ownership of your intellectual property to PixelStocker merely by becoming a Seller or listing a product.

 

However, you must ensure that your products and the rights you claim to own are actually yours to license or distribute.

25. Marketplace Platform Rights

PixelStocker owns or licenses the intellectual property and technology used to operate the Marketplace, including applicable website design, branding, software, logos, trademarks, and platform functionality.

 

Sellers may not copy, reproduce, modify, reverse engineer, distribute, or commercially exploit PixelStocker's platform, branding, or proprietary materials without authorization.

26. No Guarantee of Sales

PixelStocker does not guarantee that any Seller will receive a particular number of:

 

      •  Views;
      •  Downloads;
      •  Customers;
      •  Orders;
      •  Revenue; or
      •  Profits.                                            

Marketplace visibility may depend on factors such as customer demand, product quality, category, search relevance, promotions, competition, and platform operations.

27. Platform Availability

PixelStocker will make reasonable efforts to maintain the Marketplace, but uninterrupted availability cannot be guaranteed.

 

The Marketplace may occasionally be unavailable because of:

 

      •  Maintenance;
      •  Updates;
      •  Technical issues;
      •  Hosting or network problems;
      •  Security measures;
      •  Third-party service interruptions; or
      •  Other circumstances beyond PixelStocker's reasonable control.

28. Limitation of Liability

To the maximum extent permitted by applicable law, PixelStocker will not be responsible for indirect, incidental, special, consequential, or punitive losses arising from a Seller's use of the Marketplace.

 

PixelStocker does not guarantee the commercial success, profitability, market demand, or performance of any Seller product.

 

Nothing in these Seller Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

29. Relationship Between PixelStocker and Sellers

Unless otherwise expressly agreed in writing, Sellers operate independently and are not employees, agents, partners, franchisees, or representatives of PixelStocker.

 

Seller participation in the Marketplace does not create a partnership, joint venture, employment relationship, or agency relationship between the Seller and PixelStocker.

 

Sellers are responsible for their own business activities, taxes, legal obligations, and compliance requirements.

30. Third-Party Services

PixelStocker may use third-party services for payment processing, hosting, email delivery, analytics, security, identity verification, storage, or other marketplace functions.

 

Third-party services may have their own terms and privacy policies.

 

PixelStocker is not responsible for interruptions or failures caused by third-party services beyond its reasonable control.

31. Prohibited Seller Activities

Sellers must not:

 

      •  Create fake transactions or manipulate sales;
      •  Manipulate ratings, reviews, downloads, or marketplace statistics;
      •  Use bots or automated systems to abuse the Marketplace;
      •  Attempt to bypass PixelStocker's commission or fees;
      •  Create multiple accounts for fraudulent purposes;
      •  Upload malware or harmful files;
      •  Misrepresent ownership of products;
      •  Engage in fraudulent activity;
      •  Attempt to obtain unauthorized access to another account;
      •  Interfere with Marketplace security or functionality; or
      •  Engage in any activity that violates applicable law.

32. Seller Responsibility for Compliance

Sellers are responsible for ensuring that their activities comply with all laws, regulations, licenses, permits, and professional requirements applicable to them.

 

This may include requirements relating to:

 

      •  Intellectual property;
      •  Consumer protection;
      •  Taxation;
      •  Advertising;
      •  Data protection;
      •  Export or cross-border transactions; and
      •  Digital commerce.

33. Changes to These Seller Terms

PixelStocker may update these Seller Terms from time to time.

 

When material changes are made, PixelStocker may provide notice through the Marketplace, Seller dashboard, email, or another reasonable method where required.

 

The updated Seller Terms will become effective on the date stated in the updated version.

 

Your continued use of the Seller features after the effective date constitutes acceptance of the updated Seller Terms, to the extent permitted by applicable law.

34. Governing Law and Dispute Resolution

These Seller Terms shall be governed by the laws applicable to PixelStocker's business, without regard to conflict-of-law principles, subject to applicable mandatory legal requirements.

 

Any dispute arising between PixelStocker and a Seller should first be addressed through good-faith communication and reasonable efforts to resolve the matter.

 

If the dispute cannot be resolved informally, it may be subject to the jurisdiction of the competent courts specified by PixelStocker, subject to applicable law.

35. Severability

If any provision of these Seller Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to remain in effect to the extent permitted by law.

36. Entire Agreement

These Seller Terms, together with applicable PixelStocker policies, licenses, rules, and other terms referenced herein, constitute the agreement governing your use of the Seller features of PixelStocker, unless a separate written agreement expressly applies.
